Terms and Conditions of service

These Terms and Conditions govern all projects and services provided by SUUM.Studio Ltd ("SUUM"). By commissioning work from SUUM, the client agrees to the following terms. These are governed by the laws of Scotland.

1. Project Acceptance

  • Estimates or proposals are accepted upon written confirmation by email or other digital means.

  • A project begins once acceptance and any required upfront payment have been received.

  • These Terms supersede any client-issued purchase order terms.

2. Payment Terms

  • Standard terms: 50% upfront, 50% before delivery.

  • Alternate structures (e.g. 100% upfront) may be agreed per project.

  • Invoices are payable within 30 days unless otherwise stated. Late payments are billed at 1.5% per month plus a £35 administrative charge.

3. Intellectual Property and Licensing

  • SUUM retains copyright on all work unless explicitly transferred in writing.

  • Clients receive a licence to use deliverables solely for the intended project and usage defined.

  • Source files, working files, and extended usage rights can be licensed or purchased separately.

4. Scope, Amendments and Change Control

  • Proposals include a defined scope. Work beyond this will be quoted and charged separately.

  • Minor amends are typically included; major revisions may incur additional fees.

  • Any client-requested changes that impact scope, timeline, or budget will be documented and require written approval before proceeding.

5. Client Responsibilities

  • Clients must supply all necessary materials (e.g. text, images, access credentials) promptly.

  • Clients confirm they hold necessary rights to all supplied content and indemnify SUUM against copyright claims.

6. Project Delivery and Timelines

  • Timelines are estimates and rely on prompt client feedback and approvals.

  • Delays on the client side may result in adjusted delivery timelines or rescheduling fees.

  • Delivery may be paused for non-payment or scope disputes.

7. Hosting, Domains and Third-Party Tools

  • SUUM is not liable for downtime or performance issues from external hosts or tools.

  • Clients are responsible for ongoing licences, renewals, and access to third-party services unless otherwise agreed.

8. Credits, Portfolio Use and Confidentiality

  • SUUM may credit work publicly and display it in our portfolio unless requested otherwise in writing.

  • Clients may opt out of public attribution or portfolio inclusion by prior agreement.

  • Both parties agree to treat any shared materials, plans, or data as confidential unless otherwise agreed in writing.

9. Cancellation and Kill Fees

  • If cancelled after commencement, clients will be invoiced for work completed to date.

  • A minimum non-refundable fee of 50% of the total project cost applies to all cancellations.

10. Force Majeure

  • SUUM shall not be liable for delays or failure to perform resulting from events beyond its reasonable control, including but not limited to acts of God, illness, strikes, or equipment failure.

11. Liability

  • SUUM is not liable for indirect or consequential losses.

  • Any liability is limited to the total fees paid for the relevant project.
